RESERVATION AGREEMENT

This Reservation Agreement ("Agreement") is entered into by and between Jacksonville Center for Sexual Health LLC, a Florida limited liability company doing business as Jax Therapy Spaces ("JTS"), and the undersigned mental health provider ("Customer").
JTS provides furnished, professional office spaces for licensed and provisionally licensed mental health providers to conduct therapy sessions. Customer desires to reserve and use such office spaces under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
RECITALS
WHEREAS, JTS operates a facility at 12443 San Jose Blvd. #601, Jacksonville, Florida 32223, providing furnished office spaces for mental health providers;
WHEREAS, JTS offers access to office spaces, including a waiting area, restroom, and Wi-Fi, for licensed and provisionally licensed mental health providers to conduct therapy sessions;
WHEREAS, Customer desires to reserve and use such office spaces under the terms and conditions set forth herein;
WHEREAS, JTS ensures compliance with Florida regulations by maintaining a licensed mental health provider on-site during all reserved hours to support provisionally licensed providers in case of clinical emergencies;
AGREEMENT
1. Definitions
1.1. "Customer" refers to the mental health provider signing this Agreement, whether a licensed or provisionally licensed (Registered Intern) practitioner.
1.2. "Space" refers to the furnished office at 12443 San Jose Blvd. #601, Jacksonville, Florida 32223, including access to the waiting area, restroom, and Wi-Fi.
1.3. "Reservation" refers to the specific time slot(s) booked by Customer through the JTS website (jaxtherapyspaces.com).
1.4. "Qualified Supervisor" refers to the licensed mental health provider responsible for overseeing a provisionally licensed Customer’s professional development, as required by Florida law.
2. Services Provided
2.1. Access to Space: JTS shall provide Customer with access to one furnished office space during the reserved time slot(s), including use of the waiting area, restroom, and Wi-Fi.
2.2. On-Site Licensed Provider: JTS shall ensure a licensed mental health provider is on-site during all reserved hours to comply with Florida regulations (e.g., Chapter 491, Florida Statutes) for provisionally licensed providers (Registered Interns) in case of a clinical emergency.
2.3. Limitation of Role: The on-site licensed provider is not the Customer’s Qualified Supervisor and shall not provide clinical supervision or assume responsibility for Customer’s professional conduct or client care.
2.4. Condition of Space: JTS shall maintain the Space in a clean, functional condition, subject to normal wear and tear.
3. Customer Eligibility and Obligations
3.1. Documentation Requirements: To reserve and use the Space, Customer must provide and maintain:
3.1.1. Proof of active professional liability (malpractice) insurance with coverage of at least $1,000,000 per occurrence/$3,000,000 aggregate.
3.1.2. Proof of an active license or provisional license to practice mental health services in Florida, issued by the Florida Board of Clinical Social Work, Marriage & Family Therapy, and Mental Health Counseling.
3.1.3. If provisionally licensed, proof of a Qualified Supervisor responsible for Customer’s professional development, as required by Florida law.
3.2. Verification Process: Customer authorizes JTS to verify the validity of provided documentation with relevant authorities or insurers.
3.3. Ongoing Compliance: Customer must promptly notify JTS of any changes to their licensure, insurance, or supervision status. Failure to maintain required documentation will result in immediate suspension of access to the Space.
3.4. Professional Conduct: Customer shall conduct all activities in the Space in a professional manner, adhering to ethical standards set by their licensing board.
4. Reservation and Payment Terms
4.1. Booking Process: Reservations must be made through the JTS website (jaxtherapyspaces.com) and require payment of the reservation fee $20-25 at the time of booking.
4.2. Security Deposit: This does not apply.
4.3. Cancellation Policy:
4.3.1. Cancellations made more than 8 hours before the start of the reserved time slot are eligible for a full refund of the reservation fee, subject to the processing times of Customer’s financial institution (typically 5–10 business days).
4.3.2. Cancellations made within 8 hours of the reserved time slot are non-refundable.
4.3.3. JTS is not responsible for delays in refund processing by financial institutions.
4.4. No-Show Policy: Failure to use the Space during a reserved time slot without cancellation will result in forfeiture of the reservation fee.
4.5. Late Payments: Any unpaid fees, including for damages or cleaning, shall accrue interest at 1.5% per month until paid in full.
5. Use of Space and Liability for Damage
5.1. Permitted Use: Customer shall use the Space solely for providing mental health services to their clients in compliance with Florida law.
5.2. Prohibited Activities: Customer shall not:
5.2.1. Use the Space for any unlawful or non-therapeutic purpose.
5.2.2. Modify or alter the Space, including furniture or fixtures, without JTS’s prior written consent.
5.2.3. Allow unauthorized persons to access the Space.
5.3. Damage Responsibility: Customer is liable for any damage to the Space, furniture, or fixtures caused by Customer or their clients during the reserved time slot, beyond normal wear and tear.
5.4. Damage Assessment:
5.4.1. JTS may inspect the Space after each reservation and document any damage via photographs or third-party evaluation.
5.4.2. If professional cleaning or repairs are required (e.g., due to spills, stains, or structural damage), Customer shall reimburse JTS for the full cost within 7 days of receiving a detailed invoice.
5.4.3. JTS may deduct repair or cleaning costs from the security deposit, with any excess costs billed to Customer.
5.5. Reporting Damage: Customer must report any pre-existing damage or maintenance issues in the Space to JTS within 2 hours of starting their reservation.
6. Liability and Indemnification
6.1. No Clinical Involvement: Customer acknowledges that JTS provides only the physical Space and amenities and is not involved in the provision of mental health services or clinical decision-making.
6.2. Indemnification: Customer shall indemnify, defend, and hold harmless JTS, its owners, employees, affiliates, and agents from any claims, lawsuits, damages, or liabilities (including attorney’s fees) arising from:
6.2.1. Customer’s or their clients’ actions or omissions in the Space.
6.2.2. Malpractice claims or professional misconduct allegations against Customer.
6.2.3. Breach of this Agreement by Customer.
6.3. Limitation of JTS Liability: JTS shall not be liable for:
6.3.1. Any clinical decisions, emergencies, or professional conduct of Customer or their clients.
6.3.2. Loss of personal property brought into the Space by Customer or their clients.
6.3.3. Any indirect, incidental, or consequential damages arising from the use of the Space.
7. Compliance with Laws
7.1. Florida Regulations: Customer shall comply with all applicable Florida laws and regulations, including but not limited to Chapter 491, Florida Statutes, governing mental health practice.
7.2. Licensure and Supervision: Customer shall maintain active licensure or provisional licensure and, if applicable, a Qualified Supervisor, as required by the Florida Board of Clinical Social Work, Marriage & Family Therapy, and Mental Health Counseling.
7.3. Insurance: Customer shall maintain professional liability insurance throughout the term of this Agreement and provide updated proof upon renewal or request.
8. Confidentiality
8.1. Customer’s Clients: Customer is solely responsible for maintaining the confidentiality of their clients’ information in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and Florida law.
8.2. JTS Information: Customer shall not disclose proprietary or confidential information about JTS’s operations, pricing, or business practices without prior written consent.
9. Termination
9.1. By JTS: JTS may terminate this Agreement and deny access to the Space immediately if Customer:
9.1.1. Fails to provide or maintain required documentation (e.g., licensure, insurance, supervision).
9.1.2. Fails to pay any fees or reimbursement costs when due.
9.1.3. Breaches any term of this Agreement or engages in conduct that disrupts JTS operations.
9.2. By Customer: Customer may terminate this Agreement by providing 7 days written notice to JTS, provided all outstanding fees are paid.
9.3. Effect of Termination: Upon termination, Customer shall immediately cease using the Space, and JTS shall refund any unused portion of the security deposit, less deductions for damages or unpaid fees.
10. Dispute Resolution
10.1. Negotiation: The Parties shall attempt to resolve any disputes arising from this Agreement through good-faith negotiation.
10.2. Mediation: If negotiation fails, the Parties agree to mediate disputes through a mutually agreed-upon mediator in Duval County, Florida, with costs split equally.
10.3. Litigation: If mediation fails, disputes shall be resolved in the courts of Duval County, Florida, under Florida law.
11. Force Majeure
11.1. Neither Party shall be liable for failure to perform under this Agreement due to events beyond their reasonable control, including but not limited to natural disasters, government orders, or utility failures.
11.2. The affected Party shall notify the other promptly and resume performance as soon as practicable.
12. Miscellaneous
12.1. Governing Law: This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles.
12.2. Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings.
12.3. Amendments: Any amendments to this Agreement must be in writing and signed by both Parties.
12.4. Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.5. Assignment: Customer may not assign this Agreement without JTS’s prior written consent.

1. Agreement to Terms
1.1. These Terms and Conditions of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Jacksonville Center for Sexual Health LLC, a Florida limited liability company doing business as Jax Therapy Spaces ("we," "us," "our"), concerning your access to and use of the jaxtherapyspaces.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").
1.2. You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
1.3. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.
2. Intellectual Property Rights
2.1. Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and the Jax Therapy Spaces name and logo (the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.
2.2. The Content and Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
2.3. Provided that you are eligible to use the Site, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes strictly in accordance with these Terms.
3. User Representations and Warranties
By using the Site, you represent and warrant that:
3.1. All registration information you submit will be true, accurate, current, and complete;
3.2. You will maintain the accuracy of such information and promptly update such registration information as necessary;
3.3. You have the legal capacity and you agree to comply with these Terms;
3.4. You are not a minor in the jurisdiction in which you reside;

3.6. You will not use the Site for any illegal or unauthorized purpose;
3.7. Your use of the Site will not violate any applicable law or regulation.
4. User Registration and Account Security
4.1. You may be required to register with the Site to access certain services, such as reserving office space. You agree to keep your password confidential and will be responsible for all use of your account and password.
4.2. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
4.3. You must immediately notify us of any unauthorized use of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
5. Prohibited Activities
5.1. You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
5.2. As a user of the Site, you agree not to:
5.2.1. Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
5.2.2. Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.
5.2.3. Use the Site to advertise or offer to sell goods and services.
5.2.4. Circumvent, disable, or otherwise interfere with security-related features of the Site.
5.2.5. Engage in unauthorized framing of or linking to the Site.
5.2.6. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
5.2.7. Make improper use of our support services or submit false reports of abuse or misconduct.
5.2.8. Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
5.2.9. Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.

5.2.11. Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.
6. Services and Reservation Terms
6.1. The Site functions as a platform to facilitate the reservation of furnished office spaces ("Spaces") by qualified mental health professionals ("Customers"). The act of making a reservation through the Site constitutes an offer to enter into a separate Reservation Agreement. A binding contract is only formed upon our written confirmation of your reservation and your acceptance of the separate Reservation Agreement, which will govern the specific terms of your use of the physical Space.
6.2. Eligibility Verification: To complete a reservation, you must successfully complete our verification process, which includes providing:
• Proof of active licensure (or provisional licensure as a Registered Intern, Mental Health Counselor Intern, or equivalent) with the State of Florida.
• Proof of active professional liability (malpractice) insurance with minimum coverage of $1,000,000 per occurrence / $3,000,000 aggregate.
• If provisionally licensed, proof of an active supervisory relationship with a Qualified Supervisor, as defined by Florida Statute Chapter 491.
6.3. We reserve the right, in our sole and absolute discretion, to deny a reservation to any user for any reason, including but not limited to failed verification, past misconduct, or breach of these Terms.
7. Fees and Payment
7.1. You agree to pay all fees and charges associated with your reservations at the rates in effect when the charges are incurred. You must provide a valid payment method (credit/debit card) to use the service.
7.2. Payment Processor: We use a third-party payment processor (e.g., Stripe, PayPal). Your payment of fees is subject to the terms, conditions, and privacy policies of the payment processor. We are not responsible for errors by the payment processor.
7.3. Authorization: By providing your payment information, you authorize us and our designated payment processor to charge all fees to the payment method you provide.
7.4. Refunds: Our refund policy for reservations is as follows:
• Cancellations made more than 8 hours prior to the reserved time slot will receive a full refund of the reservation fee.
• Cancellations made within 8 hours of the reserved time slot are non-refundable.
• Refunds will be processed to the original method of payment. JTS is not liable for any delays in refund processing by financial institutions.
8. Modifications and Interruptions
8.1. We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site.
8.2. We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you.
9. Governing Law and Jurisdiction
9.1. These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Florida applicable to agreements made and to be entirely performed within the State of Florida, without regard to its conflict of law principles.
9.2. Any legal action of whatever nature brought by either you or us (collectively, the “Parties” and individually, a “Party”) shall be commenced or prosecuted in the state and federal courts located in Duval County, Florida, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
10. Disclaimer and Limitation of Liability
10.1. Disclaimer of Warranties: YOUR USE OF THE SITE AND OUR SERVICES IS AT YOUR SOLE RISK. THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT (I) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE.
10.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JTS, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES IN THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
11. Indemnification
You agree to defend, indemnify, and hold us harmless, including our members, managers, employees, and agents, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) your breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Site. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.
12. User Data and Privacy
12.1. We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site.
12.2. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
12.3. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
13. Electronic Communications, Transactions, and Signatures
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.
